Establishing a Club

The establishment of a Club structure follows a clear sequence of steps.

We help facilitate the process and strive to ensure that each step, from sourcing and alignment to negotiation and closing, supports informed decisions and effective collaboration.

Market sourcing and LP dialogues

When we, or investors in our network, believe an investment opportunity meets quality standards and can offer attractive scale benefits from collaborating, it is shared with the wider network of institutional investors to further enhance the potential.

Sourcing and negotiations

When terms and investor interest are confirmed, the group of potential Club investors meet for an informal kick-off meeting after which, the commercial, legal, and tax workstreams are progressed and/or initiated.

Due diligence

Each participating LP, including Advantage Investment Partners who manages the Club, conducts its own due diligence, including legal and tax diligence. The Club manager’s DD report is available upon request, as are those of the Club’s legal counsel and tax advisor.

Closing and participation

LPs complete their subscription to the Club, which then invests in the main fund on their behalf. Members retain the same relationship with the GP as if they invest directly, including participation in AGMs and ongoing dialogue. In addition, the Club manager organizes regular Club meetings and provides reporting to Club members. 

Joining an existing Club

Prospective Club members may join the Club until final closing of the underlying Target Fund.

  • As the Prospective Club member progresses their diligence on the underlying fund, Club documentation may be provided upon request
  • At the request of the prospective Club investor, the Club counsel can assist in analysing potential gaps between the Club investor’s side letter criteria relative to Club’s existing side letter
  • The new Club member signs the subscription agreement 

Club management by Advantage Investment Partners

Each Nordic Investment Club collaboration is an AIF managed by Advantage Investment Partners A/S under supervision by the Danish FSA.

Advantage Investment Partners acts as the Club manager, handling statutory duties, including:

  • Portfolio management – ongoing monitoring of GPs, including performance at portfolio company level, organizational changes, management of potential LPAC votes, co-investments, participation in AGMs (alongside Club members), in addition to providing quarterly input for risk reporting
  • Reporting – quarterly and annual reporting, monitoring of portfolio fund reporting, monitoring and reconciling managers’ management fee and carry calculations
  • Risk management at the manager, fund, and investment level as well as compliance oversight
  • Valuation – continuous monitoring of portfolio funds’ valuation processes, including manager developments, market trends, and portfolio company financials as well as preparation of valuation memos

Club investors can choose to leverage the work done by Advantage while retaining the GP relationship and performing similar monitoring.
